This structure is designed to facilitate effective operations across our key markets in New York, Amsterdam, Recife, and São Paulo, while upholding the principles of stakeholder consideration and transparency inherent in the B-Corp framework.
1. Legal Foundation:
GrowthSparke is formally incorporated as a Benefit Corporation (or equivalent legal structure recognizing social purpose in Specify Jurisdiction, e.g., the State of Texas, USA.
The Articles of Incorporation explicitly state the company's commitment to operate as a Benefit Corporation, legally obligating it to consider the impact of its decisions on all stakeholders, not solely shareholders.
The specific public benefit purpose(s) of GrowthSparke are defined within the Articles of Incorporation and guide the company's mission and operations.
2. Executive Leadership and Key Roles:
The organizational leadership is structured to ensure both operational efficiency and the integration of our benefit purpose:
Board of Directors: Holds fiduciary responsibility and the legal obligation to balance financial interests with the company's stated public benefit. Pedro Griz Carvalheira is expected to hold a significant position on the Board.
Chief Executive Officer (CEO): Responsible for overall strategic direction and performance, ensuring alignment with the company's mission and values. This role is held by Pedro Griz Carvalheira.
Benefit Officer (CBO): Dedicated to championing and overseeing the company's social and environmental performance, reporting directly to the CEO or the Board.
Chief Operating Officer (COO): Focuses on global operational efficiency across all locations (New York, Amsterdam, Recife, São Paulo).

Regional Finance Teams: Manage financial activities within each region, with a dotted-line to the CFO.
Regional Marketing Teams: Develop and execute localized marketing strategies, with a dotted-line to the CMO.
Local Impact Projects & Partnerships: Initiatives tailored to the specific needs and opportunities in each region, overseen by the CIO's office.
4. International Legal Presence:
GrowthSparke has established legal entities (subsidiaries or branches) in New York, Amsterdam, Recife, and São Paulo to operate within these jurisdictions.
These entities comply with all local laws and regulations while adhering to the overarching B-Corp principles and policies of the parent company.
Where legally feasible and advantageous, efforts will be made to pursue local “benefit corporation” or similar legal statuses for these entities.
